Terms of Service
OPTML LLC / Effective August 1, 2026
1. Who these terms apply to
These terms govern services provided by OPTML LLC (“OPTML”, “the studio”, “we”), a Wyoming limited liability company operating from Washington, DC, to a client engaging the studio (“you”). They also govern use of this website.
Where a signed proposal, statement of work, or separate agreement exists between us, that document takes precedence over these terms wherever the two conflict.
2. Services
OPTML provides creative direction, motion design and animation, brand systems, product and interface animation, digital product design and development, and ongoing content retainers. The specific services in any engagement are those written into the accepted quote or statement of work, and nothing outside that document is included.
3. Quotes and acceptance
Every engagement is quoted individually against a brief. A quote sets out the deliverables, the schedule, the fee, and the payment structure. Quotes are valid for thirty days from issue unless stated otherwise.
An engagement begins when you accept a quote in writing and, where a first installment is required, when that installment is paid. Email acceptance is sufficient.
4. Fees and payment
Engagements are billed under one of two structures:
- Fixed-price projects. A single project fee, billed in milestone installments tied to defined phases of the work rather than as one payment up front. Each installment becomes due when the phase it covers is reached.
- Monthly retainers. A recurring monthly fee covering an agreed scope of ongoing work, billed for the upcoming month.
Invoices are issued and card payments are processed through Square. Card statements show the charge as SQ* OPTML LLC. OPTML does not receive or store full card numbers; card data is handled by Square under its own terms and privacy policy.
Invoices are payable within fourteen days of issue unless the quote states a different term. Work on a subsequent phase may be paused while an invoice for a completed phase is outstanding.
Quoted fees exclude any sales, use, or similar taxes, and exclude third-party costs such as stock footage, music licensing, typefaces, talent, or software licensed specifically for your project. Third-party costs are agreed in advance and billed at cost.
5. Scope, revisions, and changes
The accepted quote defines the scope, including the number of revision rounds where applicable. Work outside that scope, including additional revisions, new deliverables, or a materially changed brief, is quoted separately and does not proceed until agreed in writing.
Schedules assume you provide feedback, assets, and approvals within the agreed timeframes. Delays in those inputs move the delivery schedule accordingly.
6. Intellectual property
On receipt of full payment for an engagement, ownership of the final delivered work produced specifically for you under that engagement passes to you.
OPTML retains ownership of working files, project files, source compositions, and any pre-existing methods, templates, or tools used to produce the work. These are not included in a delivery unless the quote says so. They can be licensed separately on request.
Third-party assets such as stock footage, music, and typefaces remain licensed under their own terms. Those licenses are passed through to you where the license permits it, and where it does not you will need to license the asset directly.
You confirm that any material you supply is material you have the right to supply, and that our use of it in the work will not infringe anyone's rights.
7. Portfolio rights
OPTML may display delivered work in its portfolio, including on this website, and may describe the nature of the engagement. Where work is confidential or subject to an embargo, tell us and we will hold it back until you confirm it can be shown. Existing confidentiality obligations in Section 8 continue to apply.
8. Confidentiality
Each of us will keep the other's non-public information confidential and use it only for the engagement. This does not cover information that is already public, was already known without a confidentiality obligation, or must be disclosed by law.
9. Warranties
OPTML will perform its services with reasonable skill and care, in a manner consistent with professional standards in the field.
Beyond that, services and deliverables are provided as-is. OPTML does not warrant any particular commercial result, level of engagement, audience response, or business outcome from the work.
10. Limitation of liability
Neither party is liable to the other for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data, however caused.
OPTML's total liability arising out of or relating to an engagement is limited to the total fees you paid to OPTML for that engagement in the twelve months preceding the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law.
11. Cancellation and termination
Cancellation, termination, and the treatment of amounts already paid are covered in the Refund & Cancellation Policy, which forms part of these terms.
Either party may terminate immediately if the other commits a material breach and does not remedy it within fourteen days of written notice.
12. This website
The content of this website is provided for information. Text, design, and images on it belong to OPTML or to the respective client, and may not be reproduced without permission. Case studies describe work performed; they are not offers, and they are not guarantees of results in a future engagement.
How this site handles data is set out in the Privacy Policy.
13. Governing law
These terms are governed by the laws of the State of Wyoming, the state in which OPTML LLC is organized, without regard to its conflict of laws rules.
14. Changes to these terms
These terms may be updated from time to time. The effective date at the top of this page shows when the current version took effect. The version in force when an engagement was accepted governs that engagement.
